Agreement to these terms

What CalFTax provides

THE SERVICES DO NOT CONSTITUTE LEGAL, TAX, OR FINANCIAL ADVICE. CalFTax is not a substitute for a qualified professional licensed or authorized in your jurisdiction. Tax laws are complex, change frequently, and depend on your specific facts.

You are solely responsible for decisions you make after using the Services. We do not warrant that any output is accurate, complete, or suitable for your situation. Always confirm important outcomes (filing positions, payments, elections, deadlines) with a qualified professional or the relevant tax authority.

Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access.

Acceptable use

You agree not to misuse the Services, including: attempting to access or interfere with systems or data you are not authorized to access; uploading malware; using the Services to violate law; harassing others; or attempting to reverse engineer or scrape the Services in violation of our policies or applicable law.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.

Subscriptions and payments

Paid features may be billed through our payment processor (e.g. Stripe). Fees, renewal, and cancellation are described at checkout and on our pricing pages. Taxes may apply as required by law.

Intellectual property

CalFTax and its licensors own the Services, including software, branding, and content we create. You receive a limited, non-exclusive, non-transferable right to use the Services for your personal or internal business use as permitted by these Terms and your plan.

You retain rights to information you submit; you grant us a license to use that information as needed to provide and improve the Services, subject to our Privacy Policy.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free operation, or that outputs will meet your expectations or legal requirements.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALFTAX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) WHERE PERMITTED, A SMALL FIXED SUM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT ALLOWED BY LAW.

Indemnity

To the extent permitted by law, you agree to defend and indemnify CalFTax and its affiliates against claims arising from your use of the Services, your content, or your violation of these Terms, except to the extent caused by our willful misconduct.

Governing law and disputes

These Terms are governed by applicable law without regard to conflict-of-law rules that would require applying another jurisdiction’s laws. Mandatory consumer protection laws in your country of residence may apply to you in addition to these Terms.

If you are a consumer, you may have rights to bring disputes in your local courts or through alternative processes required by local law. Nothing in these Terms is intended to limit those rights where prohibited.
